Filing of Annual Report, Audited Financial Statements and Quarterly Financial Statements through ODCS for Reporting Issuers

1.0 FSC Online Data Capture System platform

Entities registered as reporting issuers under section 86 of the Securities Act (the ‘Act’) and Rule 3 of the Securities (Disclosure Obligations of Reporting Issuers) Rules 2007 are required to file with the FSC, their annual reports and quarterly financial statements under section 88 of the Act and, where applicable, the audited financial statements as per requirements and procedures elaborated in Circular Letter CL260608.

The FSC informs that, henceforth, all reporting issuers will have to file their annual reports/audited financial statements and quarterly financial statements through the FSC Online Data Capture System platform (‘ODCS’) as per Circular Letter CL180416.  Reporting issuers will therefore not be required to submit hard copies of their annual reports/audited financial statements and quarterly financial statements, unless requested by the FSC.

2.0 Responsible Officer

The “Responsible Officer” in the Submission Form refers to an “officer” within the definition of the Financial Services Act. The Responsible Officer should ensure that:

(a) figures inserted on ODCS reflect the figures stated in the scanned copies of the annual reports/audited financial statements and quarterly financial statements; and

(b) the scanned copies of the annual reports/audited financial statements and quarterly financial statements submitted on the ODCS are the exact true copies of the original versions.  

3.0 Effective date of submissions on ODCS

The filing of annual reports/audited financial statements and quarterly financial statements through ODCS by all reporting issuers will be effective for the financial year or period ended 30 June 2019, as applicable, and onwards.

4.0 Administrative Penalty Fees for Late Filing

The attention of Reporting Issuers is further drawn to the Financial Services (Administrative Penalties) Rules 2013, which levies a penalty on late filing. In cases of late filing, Reporting Issuers are kindly required to fill in the Template under the sub-section Administrative Penalty of the FSC website.

 5.0 Login to Access ODCS

Reporting Issuers which do not have login credentials to access the ODCS platform are kindly requested to contact the Statistics Unit of the FSC for more information.
